Exclusive Distributorship Agreement ←標題部

This Agreement, entered into this 10th day of September, 2008 by and between CALIFORNIA, INC., a corporation duly organized and existing under the laws of California and having its principal place of business at [----] , San Francisco, California 90001, the United States of America (hereinafter called “Maker”) and JAPAN CORPORATION, a corporation duly organized and existing under the laws of Japan and having its principal place of business at [----] , Chiyoda-ku, Tokyo 100-0001 Japan (hereinafter called “Distributor”),

WITNESSETH THAT:

「以下を証する」という意味の古い英語です。 This Agreement が主語、 WITNESSETH が動詞となり、１つの英文契約が全体で１つの文をなすというのが伝統的なスタイルです。

Whereas, Maker has made efforts for a long time to develop creative [----] ;

Whereas, Maker has had a good relationship with Distributor as its exclusive distributor in the territory described hereunder for Maker's products for approximately ten years and desires to maintain such relationship;

Whereas, Distributor desires to further ensure its position as Maker's exclusive distributor in the territory by entering into a written agreement.

「前文」「 Whereas clauses 」「 Recitals 」などと呼ばれる部分です。拘束力はありませんが、契約に至った背景事情などを記載します。

NOW, THEREFORE, both parties hereto agree as follows:

以下が本文です。

Article 1. Definitions ←「定義条項」と呼ばれるものです。見過ごされがちですが、実は極めて重要です。

1.	“Products” means all products with the trademark “XXX” and other relevant trademarks (hereinafter called “Trademarks”) thereon, which are manufactured and sold directly or indirectly by Maker during the life of this Agreement.
2.	“Territory” means Japan .

Article 2. Appointment

During the life of this Agreement, Maker appoints Distributor as its sole and exclusive distributor to distribute Products in the Territory subject to the terms and conditions herein stipulated, and Distributor accepts such appointment.

代理店の地位が exclusive か non-exclusive かの区別は極めて重要です。

Article 6. Delivery ←引渡条件に関する条項です。

Unless otherwise agreed, Maker shall deliver Products purchased by Distributor on an FOB San Francisco basis, or at such other place as Maker and Distributor may from time to time agree.

「 FOB San Francisco 」は、売主がサンフランシスコ港において、買主の用意した船に商品を引渡せば、それで引渡しが完了するという意味です。どちらかというと売主に有利な条件です。「 from time to time 」は「随時」。

Article 8. Payment ←支払条件に関する条項です。

Each payment shall be made by Distributor by an irrevocable Letter of Credit in U. S. dollars in Maker's favor, or by such other method as Maker and Distributor may from time to time agree.

「 Maker を受益者とする取消不能の信用状にて支払う」という意味です。

以下、「一般条項」と呼ばれる各種契約書に共通する条項がずらずらと並びます。

IN WITNESS WHEREOF, the parties have caused their authorized representatives to execute this Agreement as of the date first above written.

「上記の証として、各当事者はそれぞれの権限ある代表者をして冒頭部に記載の日に本契約書に署名させた。」という意味です。
